Last updated: 01/09/2026

1. The Provider

These General Terms of Use and Sale (the "Terms") govern access to and use of the Rivolt Go-To-Market Service (the "Service"), provided by Rivolt EI (the "Provider"), a sole proprietorship represented by Mr Ruben Lutz, whose registered office is at 60 rue François 1er, 75008 Paris (France), registered under number RCS Paris 991 496 464.

Contact email: contact@rivolt.ai. Website: www.rivolt.ai

2. Purpose

These Terms set out the terms and conditions under which the Provider makes the Service available to professional users (the "Client"), and the rights and obligations of the parties regarding the subscription, use and termination of the Service.

3. Description of the Service

The Service consists of Go-to-Market ("GTM") engineering services intended exclusively for business clients (B2B), which may include defining the ideal customer profile (ICP) and target market, data collection and enrichment, outbound email infrastructure and campaigns, and reporting. The Service is provided under a best-efforts obligation, with no guarantee of a volume of replies, meetings, free trial requests or revenue.

4. Access to the Service

Access to the Service requires the signature of the Commercial Proposal by the Client and the provision of accurate, up-to-date information.

5. Support and maintenance

5.1 Support

The Provider gives the Client ongoing support throughout the term of the Contract. The Client may request support by email at support@rivolt.ai.

5.2 Maintenance

The Provider maintains the automated business prospecting Service, including the fixes, updates and actions needed to keep it working and secure. Availability is maintained within reasonable means and scheduled operations. Client data is not used to train AI models without explicit consent.

6. Financial terms

6.1 Prices

The applicable prices are those stated in the Commercial Proposal at the time of subscription. Prices are expressed in euros (€). VAT not applicable, article 293 B of the French Tax Code. Should the Provider become liable for VAT, it will be added in accordance with the law in force.

For a Client outside France, any bank charges are borne by the Client.

The Provider may change its prices, subject to notifying the Client at least 30 days before any change applies.

6.2 Payment and invoicing

Payments and invoicing between the Provider and the Client are handled by the secure Stripe platform. Payment processing services for the Provider are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement for France.

Payment and invoicing terms are set out in the Commercial Proposal.

7. Term and termination

The Contract is concluded for an indefinite term from the date of the last signature of the Parties, unless otherwise stated in the Commercial Proposal.

The Client may terminate the automated business prospecting Service at any time by writing to contact@rivolt.ai. Termination takes effect at the end of the current month and gives rise to no refund.

The Provider may suspend or terminate the Client's access in the following cases:

  • a material breach of these Terms (for example, fraudulent or unlawful use)
  • without cause, subject to thirty (30) days' written notice

In all cases, the Client is notified by any means providing proof of receipt. Termination takes effect when the notice period expires, without compensation.

On the effective date of termination, whatever the cause, the parties draw up a statement of accounts, signed by both, listing all ongoing business generated by the Provider, for which the Provider will be paid until its normal completion.

Cancelling the subscriptions the Client holds with the subcontractors supplying the tools needed for the Service is the Client's sole responsibility.

8. Client obligations

The Client undertakes to:

  • use the Service for its professional purpose
  • not introduce any unlawful or malicious content, or content infringing third-party rights
  • not attempt to alter, disassemble or divert the operation of the Service
  • approve the content of the messages and offers sent in campaigns and guarantee they are lawful (not misleading or disparaging, and respecting third-party rights)

9. Liability

The Provider is bound by a best-efforts obligation: it undertakes to provide the Service diligently and in line with professional standards, without guaranteeing a set volume of replies, meetings, free trial requests or commercial results, which depend on external factors (including deliverability, market conditions and the quality of the Client's offer).

The Provider cannot be held liable for temporary interruptions of the Service for maintenance and updates, technical problems beyond its control, or the failure of tools supplied by subcontractors.

Except in the case of gross negligence or wilful misconduct, and excluding personal injury, the Provider's liability under the Contract, for all damages and causes combined, is limited to the total amount excluding tax actually paid by the Client for the current month. The Provider is in no event liable for indirect damages, such as loss of revenue, customers, data or reputation.

10. Intellectual property

All elements of the Service (software, interfaces, content, trademarks, logos, etc.) remain the exclusive property of the Provider, excluding elements owned by the subcontractors supplying the tools needed for the Service.

The Client holds only a non-exclusive, personal and non-transferable right of use. Any unauthorised reproduction, distribution or exploitation of the content of the Service is strictly prohibited.

11. Personal data and confidentiality

In providing the Service, the Provider collects and processes personal data about the Client, in accordance with Regulation (EU) 2016/679 (GDPR) and applicable French law. The privacy policy published on this site describes these processing operations in detail.

11.1 Data controller

The data controller is Rivolt EI, Ruben Lutz, 60 rue François 1er, 75008 Paris, contact@rivolt.ai.

11.2 Data collected

The Provider collects only the data needed for:

  • managing the Client relationship
  • providing the automated business prospecting Service
  • invoicing and payment management, excluding direct payments and invoicing between the Client and subcontractors
  • assistance and technical support
  • continuous improvement of the Service
  • security of the Service

The main data collected may include: first and last name, professional email address, connection data, account settings, billing information, and content submitted to AI as part of using the Service.

11.3 Purposes and legal bases

  • Performance of the contract (art. 6.1.b GDPR): account creation, operation of the Service, assistance, invoicing.
  • Compliance with legal obligations (art. 6.1.c GDPR): accounting, tax and retention obligations.
  • Legitimate interest of the Provider (art. 6.1.f GDPR): improving the Service, IT security, preventing abuse or fraud.
  • Consent, where applicable (art. 6.1.a GDPR), in particular for certain marketing communications or optional uses.

11.4 Subcontractors and data transfers

The Provider may use technical subcontractors to provide the Service, in particular for hosting, cloud infrastructure, artificial intelligence services or third-party tools. The up-to-date list is published at rivolt.ai/sous-traitants.

Some subcontractors may be located outside the European Union (e.g. the United States). Such transfers are governed by standard contractual clauses approved by the European Commission, or by an adequacy decision where one exists, including the EU-US Data Privacy Framework for certified US providers. These subcontractors act in compliance with applicable legal and contractual obligations, in particular regarding confidentiality and data protection.

11.5 Retention periods

  • account data: for the term of the contract plus 3 years after it ends
  • billing data: 10 years (legal obligation)
  • technical logs: between 6 and 12 months
  • content provided for AI use: only as long as strictly needed to provide the Service, or automatic deletion according to the Provider's technical settings
  • objection and unsubscribe lists: kept as long as needed to ensure objections are respected, including after the Contract ends

11.6 Client rights

Under the GDPR, the Client has a right of access, rectification, erasure, restriction of processing, objection and data portability, and may withdraw consent at any time for processing based on it. These rights can be exercised at any time by writing to contact@rivolt.ai. The Client may also lodge a complaint with the CNIL.

11.7 Confidentiality

The Provider undertakes to keep the Client's data confidential, never to sell it or disclose it to unauthorised third parties, and to implement all technical and organisational measures needed to keep it secure. This obligation lasts for the term of the contract and for five (5) years after it ends.

Mutual confidentiality and know-how. This obligation applies both ways: the Client likewise undertakes to keep confidential the Provider's information, methods, prices and know-how it has access to, and not to disclose or use them outside the Contract.

11.8 Processing prospect data on behalf of the Client (article 28 GDPR)

Allocation of roles. For data relating to the Client's account and representatives, the Provider acts as data controller. For the personal data of prospects processed in campaigns run on the Client's behalf, the Client acts as data controller and the Provider as processor, acting on the Client's documented instructions.

Provider obligations as processor. The Provider undertakes to: process the data only on the Client's documented instructions; ensure the confidentiality of the data and that the people authorised to process it are bound by confidentiality; implement appropriate technical and organisational measures (article 32 GDPR); use sub-processors only with the Client's authorisation and under equivalent obligations; help the Client respond to data subject requests; assist it on security, breach notification and, where relevant, impact assessments; and, at the end of the Contract and at the Client's choice, return or delete the data, subject to legal retention obligations.

Data breaches. The Provider notifies the Client of any personal data breach as soon as possible after becoming aware of it, with the information the Client needs to meet its own obligations.

Compliance of business prospecting. The Provider applies prospecting practices that comply with the applicable framework (in particular article L.34-5 of the French Postal and Electronic Communications Code and CNIL guidance): a means of objecting in every message, effective handling of objections and a suppression list. Outreach is limited to people contacted because of their professional role, for offers related to it.

Client guarantees. Where the Client supplies files or targets itself, it guarantees that it has an appropriate legal basis, has informed the data subjects as required and respects their right to object. The Client also guarantees that the offers and messages sent are lawful.

Mutual indemnity. Each Party indemnifies the other against the financial consequences (including administrative penalties and third-party claims) of a breach attributable to it of its obligations on personal data and business prospecting.

11.9 Electronic signature

Contractual documents may be signed through PandaDoc. Under the eIDAS regulation, this electronic signature has the same legal effect as a handwritten signature.

12. Force majeure

Neither party can be held liable for non-performance due to force majeure within the meaning of article 1218 of the French Civil Code.

13. Governing law and disputes

These Terms are governed by French law. Any dispute relating to their interpretation or performance falls under the exclusive jurisdiction of the courts of Paris, unless a mandatory legal provision states otherwise.

14. Changes to the Provider's legal form

If the legal form, tax regime or name of Rivolt EI changes, these Terms remain applicable and enforceable against the Client, subject to being updated and to the continuity of the business. These changes do not affect the validity of ongoing contracts.

To that end, the Client hereby agrees, within the meaning of article 1216 of the French Civil Code, to the assignment of the Contract to any entity continuing Rivolt's business (in particular on conversion into a company, contribution or sale of the business), subject to simple prior notice and the assignee taking over the Provider's rights and obligations.

15. Acceptance

These Terms are provided to the Client before the Contract is concluded. By signing the Commercial Proposal (electronically where applicable) or by using the Service, the Client acknowledges having read them and accepts them in full without reservation. In the event of a conflict between these Terms and the Commercial Proposal, the latter prevails for its specific provisions.
